Terms of Service

Bacenik Decide provides governed decision intelligence: structured scoring, human finalization, and audit artifacts. It does not provide legal, financial, or compliance advice. You remain responsible for decisions made with the product.

You must provide accurate contact information. You are responsible for activity under your account. We may suspend access for abuse, non-payment, or security risk.

Paid plans (Founding Pilot and Team) renew monthly until canceled via the in-app billing portal or Stripe. Fees are non-refundable except where required by law. We may change pricing with reasonable notice.

These terms apply from your first use of the service until terminated. You may cancel a paid plan anytime through the billing portal; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access for breach of these terms, non-payment, or security risk, with notice where practicable. On termination, your right to access the service ends; Section "Data & confidentiality" governs what happens to your data.

Do not attempt to breach security, scrape other users' data, or use the service for unlawful purposes. Do not upload content you lack rights to process.

Your decision data belongs to you. We process it to operate the service per our Privacy Policy and DPA. Team customers may execute a separate agreement. Following termination, we retain your data for a limited period to permit export or reactivation, then delete it except where retention is required for billing, legal, or security-incident records.

We own the Bacenik Decide software, branding, and underlying scoring methodology. You own the content and decisions you create. We grant you a limited, non-exclusive license to use the service; you grant us a limited license to process your content solely to provide the service.

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data, arising from these terms or the service. Each party's aggregate liability arising out of or related to these terms is limited to the fees paid or payable by you in the twelve months before the claim, except for either party's indemnification obligations, breach of confidentiality, or a party's gross negligence or willful misconduct, which are not subject to this cap.

You will indemnify and hold Bacenik harmless from third-party claims arising from your unlawful use of the service, content you upload without rights to do so, or your breach of these terms. Bacenik will indemnify you from third-party claims that the service, as provided, infringes their intellectual property rights, excluding claims arising from your modifications or use in combination with other products.

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising from these terms or the service will be brought exclusively in the state or federal courts located in Delaware, and each party consents to that jurisdiction and venue.

We may update these terms from time to time. For material changes, we will provide reasonable notice (e.g. email or in-app notice) before they take effect. Continued use of the service after changes take effect constitutes acceptance.

If any provision of these terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These terms, together with the Privacy Policy and any DPA, are the entire agreement between you and Bacenik regarding the service.
